These Terms and Conditions of Use (the "Agreement") govern your use of the Chiron Scientific, Inc. ("Chiron") web site and the services provided herein. For the purposes of this Agreement, if you represent an entity, then "You", "you" and "your" will include your company, its officers, employees, members, agents, successors and assigns, and this Agreement will be in addition to any other written agreement entered into between you and Chiron.

You agree to review this Agreement before using the Chiron web sites and all content, libraries and databases accessed via the site (referred to, collectively, as the "Site"). In consideration of your use of the Site and the services offered via the Site, you agree to the terms and conditions contained in this Agreement. Your use of the Site will be governed by this Agreement and any other applicable agreement entered into between you and Chiron.

Chiron may amend this Agreement at any time by posting the amended terms on the Sites. The amended terms will take effect and become part of this Agreement immediately upon publication on the Site. If you would like to receive emails notifying you of amendments to these terms, or if you have any questions regarding this Agreement or the Sites, please contact Chiron Customer Support by email at info@chironsci.com or by telephone at (419) 882-6502. Chiron may, at its discretion, discontinue provision of services at any time.

Access and Product Purchasing Terms and Conditions

Registration:

When you register with the Site, you agree that:

1. You will keep your Site password confidential and notify Chiron within 24 hours of any unauthorized disclosure or use of such password; unauthorized use of your account, or other breach of security, and
    
2. You agree to provide Chiron with accurate, complete registration information. It is your responsibility to inform Chiron of any changes to that information. Each registration is for a single person only, unless specifically designated otherwise on the registration page. Chiron does not permit

   (a) any other person using the registered sections under your name; or

   (b) access through a single name being made available to multiple users on a network.

   You are responsible for preventing such unauthorized use. If you believe there has been unauthorized use, you must notify Chiron immediately by emailing info@chironsci.com

Site Use:

For as long as the Site is available, you agree that you are only authorized to visit, view and to retain a copy of pages of this Site for your own personal use, and that you shall not duplicate, download, publish, modify or otherwise distribute the material on this Site for any purpose other than to review product information, subject to the terms of this Agreement. You further agree that you will make no unauthorized uses or copies of the Site or of any of the content or material contained therein, whether for unauthorized product sales or unauthorized framing of or linking to the Site.

You may provide links only to the homepage of this Site, provided (a) you do not remove or obscure, by framing or otherwise, any portion of the homepage, (b) you give Chiron notice of such link by sending an e-mail to info@chironsci.com and (c) you discontinue providing links to this Site if requested by Chiron. If you wish to provide links to a section within the Site, you should forward your request to Chiron at info@chironsci.com and Chiron will notify you if permission is granted, and if so the terms and conditions of the permission.

The Site may automatically produce search results that reference or link to third party sites throughout the World Wide Web. Chiron has no control over these sites or the content within them. Chiron cannot guarantee, represent or warrant that the content contained in the sites is accurate, legal and/or inoffensive. Chiron does not endorse the content of any third party site, nor do we warrant that they will not contain viruses or will not otherwise impact your computer. By using the Site to search for or link to another site, you agree and understand that you will not make any claim against Chiron for any damages or losses, whatsoever, resulting from your use of the Site to obtain search results or to link to another site. If you have a problem with a link from the Site, please notify us at Customer Support at info@chironsci.com and we will investigate your claim and take any actions we deem appropriate in our sole discretion.

User Indemnification:

You agree to defend, indemnify and hold harmless Chiron, its officers, directors, employees, agents, successor and assigns from and against any suits losses, claims, demands, liabilities, costs and expenses, including reasonable attorneys' fees, that they may sustain or incur as a result of any claim against them based upon any cause of action brought by you or by other third parties arising out of, directly or indirectly, your use of the Site or of any Products or by reason of your failure to perform your obligations described in this Agreement.

Representations and Warrants:

You agree that: (i) you understand this Agreement and that it constitutes a valid, binding obligation of you, and (ii) you have full power, authority and legal capacity to enter into this Agreement and follow its obligations. If you are registering on behalf of a company or other entity, you agree that you have the authority to bind your principal or employer company as described in the Registration Application to the Agreement.

Member Privacy:

It is Chiron's policy to respect the privacy of its members. For more information, please read the Chiron Privacy Statement.

Chiron Warranty and Limitation of Liability

Chiron Warranty Disclaimer:

The only warranties made for a Product shall be the warranties provided by the applicable Supplier for the Product. You agree to deal directly with the Supplier regarding warranty issues CHIRON MAKES NO GUARANTEES, WARRANTIES, OR REPRESENTATION WITH RESPECT TO ANY SPECIFIC RESULT FROM USE OF THIS SITE OR USE OF THE CHIRON SERVICES. WITHOUT LIMITING THE FOREGOING, CHIRON DISCLAIMS ALL WARRANTIES AND REPRESENTATIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, NON-INFRINGEMENT, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, AND ACCURACY. CHIRON DOES NOT WARRANT THAT THE OPERATION OF THE PRODUCTS WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Limitations of Liability:

CHIRON AND ITS AFFILIATES, LICENSORS AND CONTENT AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR DIRECT, INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING WITHOUT LIMITATION DAMAGES FROM LOSS OF BUSINESS, DIMINUTION OF PROPERTY VALUE, LOSS OF PROFITS, DOWN TIME OR FAILURE TO REALIZE SAVINGS), WHETHER BASED IN CONTRACT OR TORT (INCLUDING WITHOUT LIMITATION NEGLIGENCE), PRODUCT LIABILITY OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOU ACKNOWLEDGE THAT THE LIMITATION OF CHIRON'S LIABILITY SPECIFIED IN THIS AGREEMENT REFLECTS A FAIR ALLOCATION OF RISK BETWEEN YOU AND CHIRON AND THAT CHIRON WOULD NOT PROVIDE THE SITE OR THE SERVICES OFFERED THROUGH THE SITE WITHOUT THE FOREGOING LIMITATION OF ITS LIABILITY AND THE WARRANTY DISCLAIMERS CONTAINED HEREIN. TO THE EXTENT THE FOREGOING LIMITATION OF LIABILITY IS PROHIBITED, CHIRON'S SOLE OBLIGATION TO YOU FOR DAMAGES SHALL BE LIMITED TO $100.00.

Infringement:

Chiron does not warrant that the use of any Products will not infringe the claims of any United States or other country's patents, trademarks, copyrights, trade secrets or other intellectual property rights which cover the product itself or its use in combination with other products or in the operation of any process.

Chiron Intellectual Property Rights:

The graphics, images, content, compilation, magnetic translation, digital conversion and other matters related to the Site are protected under applicable copyright, trademark and other proprietary rights, including but not limited to intellectual property laws. You are not permitted to copy, redistribute, use or publish any of the content or any part of the Site, except as required to use the Site. We post a legal notice and various credits on pages of the Site, which may not be removed. Do not remove this notice or these credits, or any additional information contained along with the notices and credits.

Chiron makes use of Suppliers' trademarks, service marks, trade names or other identifying information ("Third Party Trademarks"), and those Third Party Trademarks remain the sole and exclusive property of the applicable third parties.

Termination:

Chiron may terminate your use of the Site at any time if you violate any provision of this Agreement or if Chiron is unable to verify or authenticate the information you provide to Chiron. Termination of this Agreement will not affect any obligations that accrued before the termination.

Non-Transferable:

Your right to use the Site is not transferable and non-assignable, by operation of law or otherwise and is subject to any limits established by Chiron.

GENERAL PROVISIONS

Notice:

Unless stated otherwise, all notices will be sent by email:

1. by you to info@chironsci.com or
    
2. by Chiron either to the email address you provide to Chiron during the registration process or other address that you specify in writing.

E-mail notices will be read within 24 hours after they are sent, unless the sender is notified that the email address is invalid or returned undeliverable. Alternatively, Chiron may provide notice by certified mail, postage prepaid and return receipt requested, to the address provided to Chiron on your registration form.

Force Majeure:

Chiron will not be responsible for delays or failures in providing any of the services available via the Site or in making the Site available for your use due to any cause beyond Chiron's reasonable control.

Governing Law:

This Agreement shall be governed by the laws of the State of Ohio without regard to conflict of law provisions and as if made and to be performed entirely within the State of Ohio. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to this Agreement and is strictly excluded. The parties hereby consent to the jurisdiction and venue of the state and federal courts of Lucas County, Ohio.

Entire Agreement:

This Agreement, along with any other written agreement that may be entered into between you and Chiron constitutes the entire agreement between you and Chiron governing your use of the Site. In the event of a conflict between this Agreement and the terms and conditions of any other written agreement entered into between you and Chiron, the terms and the other written agreement shall control.

Severability:

If any section of this Agreement is found to be invalid or unenforceable in any jurisdiction in which it is performed, then the meaning of that section will be interpreted, to the extent feasible, in a way that renders it enforceable. If no feasible interpretation is possible, the section will be severed from the rest of this Agreement and the rest of the Agreement will remain in full force and effect.

Section Headings:

The section headings are for convenience only; they form no part of the terms and conditions of the Agreement and will not affect the interpretation of this Agreement.

Binding Effect:

This Agreement will be binding upon and enforceable by the parties it describes and their respective heirs, personal representatives, successors and assigns.

Non-Waiver:

The failure of Chiron to enforce or require enforcement of any provisions of this Agreement will not constitute, or be construed to be, a waiver of the Agreement's provisions, nor will it affect Chiron's right to enforce all provisions of this Agreement thereafter.
